Partner Terms & Conditions

Welcome to the PathFinder Partner Network operated by Bitcap Inc. These Terms & Conditions govern participation in the PathFinder Partner Program, including referral, affiliate, reseller, and strategic partner relationships.

By registering as a partner, you agree to the following terms.

1. Program Overview

The PathFinder Partner Network allows approved partners to introduce organizations and individuals to PathFinder software and related Bitcap products and services in exchange for commission-based compensation.

Participation in the program does not create an employment, agency, joint venture, or exclusive business relationship between the partner and Bitcap Inc.

2. Confidential Participation

Bitcap respects the privacy of its partners.

Participation in the PathFinder Partner Network is treated as private and confidential. Bitcap will not publicly disclose affiliate, referral, reseller, or partner relationships without prior consent, except where required by law.

Partners may also not publicly represent themselves as employees, official representatives, or spokespersons of Bitcap without written authorization.

3. Referral Attribution

Referrals are attributed to the originating partner for up to 120 days from the date of the initial qualified introduction or referral submission.

Bitcap reserves the right to determine referral attribution in situations involving multiple introductions, pre-existing customer relationships, or overlapping sales activity.

4. Commission Structure

Commission rates are based on quarterly closed paid sales.

Current standard commission tiers are:

  • 1-5 Quarterly Sales: 20% first-year commission
  • 6-10 Quarterly Sales: 25% first-year commission
  • 11+ Quarterly Sales: 30% first-year commission

In addition, approved partners receive:

  • 10% recurring annual commission on active renewing customer subscriptions referred by the partner.

Quarterly commission tiers apply retroactively to all qualified sales closed during the applicable quarter.

5. Qualified Sales

A qualified sale is defined as:

  • A new customer account introduced by the partner
  • Successfully onboarded by Bitcap
  • With payment successfully received by Bitcap

Commissions are paid only on collected revenue.

Trials, unpaid accounts, refunded payments, chargebacks, or cancelled subscriptions do not qualify for commission payouts.

6. Recurring Commissions

Recurring commissions apply only while:

  • The referred customer remains active and paying
  • The partner account remains active and in good standing
  • The partner continues to comply with these Terms & Conditions

Recurring commissions do not apply to:

  • refunded payments
  • disputed invoices
  • inactive or terminated customer accounts
  • internal or discounted accounts designated by Bitcap

7. Payment Terms

Commission payments are generally issued quarterly following confirmation of successful customer payment collection.

Partners are responsible for providing accurate payment and tax information where applicable.

Bitcap reserves the right to delay or withhold commission payments in cases involving:

  • suspected fraud
  • abuse of the program
  • disputed attribution
  • unpaid customer invoices
  • violation of these Terms

8. Partner Conduct

Partners agree to represent PathFinder and Bitcap professionally and accurately.

Partners may not:

  • make false or misleading claims
  • misrepresent pricing, functionality, or capabilities
  • impersonate Bitcap employees
  • engage in spam, harassment, or deceptive sales practices
  • use unauthorized branding or trademarks

Bitcap reserves the right to terminate any partner account for conduct deemed harmful to customers, Bitcap, or the PathFinder brand.

9. Confidential Information

Partners may receive access to non-public information including:

  • product roadmaps
  • pricing
  • technical information
  • customer information
  • training materials
  • demo environments

All such information must be treated as confidential and may not be shared publicly or with competitors without written authorization from Bitcap.

10. Independent Relationship

Partners operate independently and are solely responsible for:

  • their business activities
  • taxes
  • legal compliance
  • marketing activities
  • customer interactions outside Bitcap-controlled processes

Nothing in these Terms creates:

  • employment
  • partnership
  • agency
  • fiduciary relationship between the partner and Bitcap Inc.

11. Program Changes

Bitcap may update:

  • commission structures
  • payout schedules
  • program benefits
  • platform features
  • these Terms & Conditions

Partners will be notified of material changes through the partner portal or registered email address.

12. Termination

Either party may terminate participation in the PathFinder Partner Network at any time.

Upon termination:

  • unpaid commissions for valid qualified sales prior to termination may still be paid at Bitcap's discretion
  • future recurring commissions may cease
  • partner access to internal resources may be revoked

Bitcap reserves the right to immediately terminate accounts involved in:

  • fraud
  • abuse
  • misrepresentation
  • confidentiality breaches
  • unethical conduct

13. Limitation of Liability

Bitcap Inc. shall not be liable for:

  • indirect damages
  • loss of profits
  • lost business opportunities
  • service interruptions
  • changes to the program

Participation in the PathFinder Partner Network is provided on an "as available" basis without guarantees of earnings or sales performance.
